In House Counsel Service (Retainer model)

R & B shall act as your in-house counsel, while do so we keep in mind that we are the conscience keepers of the business apart from keeping the dignity of the law. Marrying both law and business.

We thoroughly understand the proposition given by the company as they expect solutions rather than a “Yes” or “No” 

While providing in-house counsel service we understands the pulse of the organization and strategizes accordingly and our answer shall not be a “Yes” or “No” fashion. 

Rather, If not Yes- then What? 

This particular service is provided on Retainer basis (monthly or annual) and the client will have the option to cherry pick from the area of service listed below for which our support is required either. We depute a Legal officer on our rolls or shall handle the requirements at our own based on client requirements and volume of work to be performed.

• Drafting,  reviewing , negotiating and finalization of; 

• Commercial contracts which includes and not limited to Employment, Vendor, Independent contractor, Freelance Consultants, Agency, Sale & purchase, Commercial lease, leave & license, licensing agreements et al.. 

POLICY DRAFTING

• Drafting, vetting reviewing of various policies which include 

• Data protection/Privacy policy ( Global as well as domestic)

• Anti bribery policy

• Intellectual Property Right Policy

• Anti sexual Harassment Policy 

• Any other customized/tailor made policy/ies ( based on industry requirement)

• HR policy/HR manual/Handbook

EMPLOYMENT/HUMAN RESOURCE

• Advice the company on broad/plethora of regulations that needs to be complied

• Draft, review, incorporate appropriate restrictive covenants clauses eg Non-compete/Non-solicit/Non-solicit/Non-disclosure/confidentiality Agreements.

• Draft, review, incorporate appropriate dispute mechanism clause.

• Guidance during the course of employee separation

• Ensure general labour compliance.

INTELLECTUAL PROPERTY FRAME WORK 

• Thorough search before registration

• Trademarks/Copyright/patent registration and renewals

• Lending support on Pre-Registration/objections
